Key responsibilities


As Corporate Paralegal, you are responsible for supporting the Senior Corporate Paralegal (reporting to the Chief Legal & Compliance officer) in the legal-administrative establishment and governance of the SD Worx group companies.


Together with the Senior Corporate Paralegal, you are responsible for the active and autonomous corporate housekeeping of all subsidiaries across Europe.

You contribute to the optimization of activities in the corporate administration, by managing or participating to projects. You will proactively monitor developments in the field of corporate governance. You will report to the Senior Corporate Paralegal.

Your main tasks will include e

g:
- the corporate housekeeping of the SD Worx group companies, including the preparations and follow-up of:

  • annual (and other) general meetings, meetings of board of directors, etc.
- restructurings (liquidations, mergers, transfers, etc.)
- changes in composition of board of directors;

  • Management of specific proxies | signature authority;
  • Maintaining the shareholders' registers;
  • Maintaining the corporate housekeeping document management tool ("corporify").
  • Preparing and fulfilling legal formalities (e.g. register of legal entities, publication requirements, UBO requirements, KYC questions, various legal formalities (legalisation, apostille, etc.)).
  • Draft, followup and maintain the SD Worx intercompany agreements, together with finance colleagues.
  • Assisting the M&A team with the necessary information, documents, etc.
  • Acting as an ambassador for external parties as notaries, law firm, statutory auditors, etc.

Your Profile

  • You hold a Bachelor degree in legal practice or equivalent through experience.
  • You have at least 1 year of experience in a similar position in a large company.
  • You have an excellent knowledge of English and Dutch. Good knowledge of other languages (such as French, German, Italian, Spanish or Polish) is considered to be an asset.
  • You have a good knowledge of Office Tools and you are wellversed in technology.
  • You are punctual and you have an exceptional eye for detail and precision.
  • You are able to manage complexity, able to set priorities and to optimise work processes.
  • You have an administrative and organisational talent.
  • You are able to work autonomously and proactively provide reliable support for your assigned projects.
  • You have excellent interpersonal and communication skills (writing and oral).
  • You are a team player and trustworthy.
  • You have a strong sense of ethics and responsibility.
  • Stressresistant and able to work under pressure.
