Proximus is seeking to recruit a high potential individual for its Group M&A team. As part of the M&A team your job is to support the execution of our ambitious strategy. The M&A team oversees the origination and execution of strategic transactions for the group, business units and its subsidiaries.

You will be exposed to Proximus senior management team and interface directly with target companies as well as professional advisors.

As an M&A Manager you will make part of a small, centralised team, part of Group Strategy & M&A and reporting to the Group CEO and CFO.

You will work on all Proximus Group M&A projects (acquisitions, divestments, JVs), taking end-to-end responsibility.

You will be responsible for:

Supporting internal strategy teams to define Proximus corporate strategy and to subsequently translate this in the underlying M&A strategy
Executing the preliminary analysis, screening & selection of potential acquisition targets
Managing relationships with external parties: investment banks, funds, consultants, financial advisors etc.
Extensive financial analysis: analyse historical & forwardlooking financials, build business plans and the underlying valuation
Endtoend deal execution, up from initial deal sourcing, due diligence towards posttransaction integration including coordination of all key stakeholders to ensure acceptance & success of M&A transactions
Elaborating official documents such as confidential memoranda or indicative bid documents, as well as internal governance presentations towards key stakeholders (Executive Committee, Board )
Participating in the negotiation of key terms and conditions of transaction documents

Your Profile

University degree (Economics, Finance, Engineering or Law)
Minimum 5 years' experience in investment banking, top tier management consulting (having relevant exposure to M&A projects), private equity or similar positions in a corporate development team
Extensive analytical skills in financial modelling and valuation, while also mastering corporate & business strategy concepts
Exposure to broader M&A processes including strategic reviews, due diligence, structuring & negotiating key principles in legal documentation etc.
Strong project management skills, being capable to work in teams with a wide variety of backgrounds and lead them to success
Qualified experience in TMT or any adjacent sectors
Strong communication & interpersonal skills
Flexibility and high motivation
Fluent in English with working knowledge of at least Dutch and/or French
