Role Overview

We are looking for:

As part of the Corporate Expert Counsel group, you will manage complex and high level M&A matters at group level and work with other experts and a network of local business lawyers. The scope of the M&A matters is very varied, including mergers, acquisitions and divestments, the setup of joint ventures, the related carveouts and the handling of postM&A claims. The work has a strong international dimension and will range from larger scale, complex cross border transactions to smaller, local deals.

We count on you for:

Frontline legal management of M&A deals, including drafting and negotiating key transactional documents, control of data rooms/legal due diligence process, handling of disclosure exercises in M&A context, handling postM&A claims and ensuring generally the legal compliance of Solvay's M&A activities
Cooordination and management of internal legal support in a crossdiscipline / multijurisdiction context
Selection and management of external legal counsel and/or freelance lawyers in an efficient and costeffective manner
Development and improvement of Solvay's approach to M&A transactions, including via the development of internal templates and training of the Legal M&A network
Representing the Legal M&A activities before executive management
Manage all legal risk of high level transactional work
Control external legal spendImplement an M&A training program for the GC Function laywers
Increase efficiency through the further development of templates and digitalization

The General Counsel Function at Solvay aims to create added value to the Group by providing, managing and coordinating quality legal service to the business community, the corporate functions and the top management in view of minimizing the Group's legal risk and costs, reduce litigation exposure, and ensure legal compliance.

The goal of GC Function is to do so efficiently, expeditiously, reliably and with professional integrity.

You will bring:

Law degree
Have law firm M&A experience of at least 5 years in a law firm
Have, preferably, inhouse experience with focus on M&A, in addition to law firm practice
A business degree would be a plus
International exposure is highly valued
Experience with M&A transactions in a crossborder context
Fluent English required
Oral fluency in French is preferred
Dutch, German and/or are Italian a plus
Familiarity with a wide variety of transaction types (e.g., share purchase, divestments, joint venture, etc.)

Derisable skills:

Ability to work independently while being able to contribute successfully to crossfunctional teams
Excellent commercial judgment enabling consideration of legal requests in a commercial, constructive and businesssympathetic way, balancing business needs with legal risk
Be comfortable with understanding and negotiating commercial and nonlegal issues as well as purely legal corporate issues
Ability to present succinct, accurate and pragmatic advice
Must be able to work on multiple projects under pressure, tight deadlines and to manage the expectations of clients
